Australian billionaire Laurence Escalante has made a significant move to acquire full ownership of Virtual Gaming Worlds (VGW) by offering $3.2 billion to buy the remaining 30% stake from minority shareholders at $5.05 per share. Federal Court Approval Paves the Way for VGW Buyout Vote
After earlier bids of $3.50 and $4.00 failed to gain traction, the newest bid of $5.05 per share has been backed by Kroll, an independent expert, who deemed it fair and reasonable. Falling within VGW’s estimated value range of $4.53 to $5.63 per share, the Federal Court has given its approval for shareholders to vote on the plan on August 1. The buyout requires a 75% majority to proceed, as reported by The Australian Financial Review.
VGW’s Operations and Legal Challenges
VGW operates popular online gambling sites including Chumba Casino, Global Poker, and Luckyland Slots, using a sweepstakes model. While the company is based in Australia, the majority of its revenue comes from the US market. However, VGW faces legal challenges related to sweepstakes gaming in states like California, Mississippi, and Ohio, as well as a trademark lawsuit in Delaware.
Despite these obstacles, VGW is on track for a record-breaking financial year. In the six months ending December 2024, the company generated $3.51 billion in revenue and $301 million in profit. It anticipates a slightly softer second half but projects total annual profit between $555 million and $570 million, up from $496 million the previous year.
Escalante’s Motivation for Buyout
Escalante has highlighted regulatory uncertainty and increasing competition as key reasons behind the buyout. In a message to shareholders, he emphasized that the evolving legal landscape has made a public listing less viable, prompting him to consolidate control and reposition the business. Ocean Bidco Limited, a Guernsey-registered company established by Lance East, will oversee the purchase, potentially reducing VGW’s obligations to Australian corporate regulators.
Finalizing the Deal and Shareholder Decision
While there have been previous disagreements between shareholders and the company, including heated discussions in private chats, Escalante is now focused on completing the deal through official channels. Independent director Mike Symons, appointed to supervise the process, confirmed the deal’s authenticity and reiterated that no superior offers have emerged. Shareholders of VGW will vote in August on whether to sell their shares at a higher price or stay invested as the company undergoes significant changes under Escalante’s full ownership.
